What you will be doing:
Senior Legal Counsel – EU will play an important role inCrowdcube’s European operations, providing expert legal, governance, regulatory and compliance guidance across multiple EU jurisdictions. This role will include legal due diligence, oversee transaction execution, managing corporate actions of Crowdcube portfolio companies, and ensuring that our EU operations meet the highest regulatory and legal standards.
You will serve as the senior escalation point in the EU team for complex legal matters, partner closely with cross-functional teams, and lead the development of scalable, efficient legal processes across the EU.
Day to day you will:
Leadership & Oversight
Lead and manage EU lawyers and and compliance analysts in the Crowdcube EU team
Act as the senior legal escalation point for all EU jurisdictions (Spain, France, etc.).
EU legal governance framework, ensuring consistency, compliance and scalability across countries.
Deal Execution & Due Diligence
Take a leading role all legal aspects of EU investment rounds, including:
• due diligence
• legal document reviews
• completions
• post-funding corporate requirementsManage EU corporate actions such as capital increases, shareholder resolutions, restructures, exits and listings.
Ensure proper handling of SKIS-equivalent processes, investor documentation, and statutory filings.
Regulatory & Compliance
Maintain expert knowledge of relevant EU financial regulations, crowdfunding rules, investment services legislation and local requirements in key markets.
Provide regulatory interpretation and advice to internal teams across the EU.
Build and maintain risk-management processes that ensure compliance with EU-wide and local laws.
Governance
Advise on governance matters relating to EU SPVs, issuers and corporate structures, working closely with the Chief Operations Officer and UK VP Legal.
Ensure timely preparation and filing of corporate governance documentation across EU jurisdictions.
Support implementation of governance frameworks for new markets or product extensions.
Cross-Functional Collaboration
Work closely with Operations teams to streamline legal processes, avoid duplication, and enhance information flows.
Partner with the EU commercial teams as for deal structuring and investor matters.
Support the Portfolio team on complex corporate actions across multiple jurisdictions.
Work with Marketing to ensure accuracy and compliance across external content, FAQs and investor communications.
What we are looking for:
Qualified lawyer
Strong experience in corporate, financial services, fintech or capital markets law.
Experience in governance, regulatory advisory, compliance frameworks and due diligence.
Experience managing cross-border legal matters across multiple EU jurisdictions.
Ability to lead teams and manage multiple workstreams in a fast-paced environment.
Strong stakeholder management skills and the ability to balance commercial and regulatory requirements.
Fluency in English and Spanish (required) and/or French (highly desirable).

Our interview process typically consists of an initial phone screen, an interview with the hiring manager and a task, followed by a final interview with other members of the team. There aren't any trick questions and the task will typically be based on a real scenario the team have worked on.
